1. Program Sponsor
Wyndham Rewards® (the "Wyndham Rewards Program" or "Program") is offered by Wyndham Rewards, Inc., an indirect subsidiary of Wyndham Hotels & Resorts, Inc., its successors and assigns. Wyndham Rewards, Inc. is sometimes individually referred to as "Sponsor."
2. Program Changes
Subject to applicable law, Sponsor may modify, alter, suspend, delete, or add new terms and conditions for its Program at any time without notice. The foregoing includes, without limitation, modifying, altering, adding, suspending or deleting point values, redemption levels and opportunities, conversion ratios, Member Levels Benefits or any other aspect of the Member Levels Program (including, without limitation, conditions for membership in the Member Levels program), earning methods and ratios and/or the participation of Earning Participants or Rewards Participants (each as defined below) at any time without notice (subject to applicable law). In addition, subject to applicable law, Wyndham Rewards may convert the Wyndham Rewards Program and Members' points into different awards programs having different point values at any time without notice. This means, in the case of Wyndham Rewards, that the number of points needed to reach a reward level may be increased, the time for earning them reduced, or the rewards changed, so you may not be able to obtain, earn or claim certain rewards no matter how long you participate in Wyndham Rewards. 3. Program Termination
Sponsor may terminate the Program at any time upon six months' notice, without further obligation to the Member. Regardless of the amount of time you participate in the Program, your right to accumulate additional Wyndham Rewards points or other Program currency and claim rewards under the Program may be terminated and all accrued Wyndham Rewards points in your account cancelled six months after termination of the Program is announced.
4. Eligibility
Individuals interested in enrolling in the Program must have reached the age of majority in their jurisdiction of residence; and, in order to avoid the creation of duplicate accounts for the same individual, provide:
a. a unique email address, i.e., not shared with an existing Member; and
b. a phone number that is not shared with any existing Member who has the same first and last names as the enrolling individual.
Such individuals will hereafter be referred to as "Members" of the Program, or "Wyndham Rewards Members". Corporations, groups and other entities are not eligible. Members may not maintain more than one account or share accounts.
5. Points & Travel Partner Currency
Under the Program, Members can earn Wyndham Rewards points or similar currency in participating partner travel programs (e.g. airline miles and other partner travel program currency) (such participating partner travel program currency, collectively, "Travel Partner Currency"). Please see the Wyndham Rewards Travel Partner Currency page for more information. Wyndham Rewards points can be earned through (i) "Qualified Stays" at "Participating Hotels", “Participating Destinations” and “Participating Caesars Rewards Properties”, each as defined elsewhere in this Section I below, (ii) and for the various types of Go Fast® award stays at such properties, as more particularly described in Sections II(A) and (B) below. In these Terms and Conditions, Wyndham Rewards points are sometimes referred to as “Base Points”, “Promotional Points”, “Go Get ‘Em® Points” and “Accelerated Earning Points” (each as defined below in this Section I(5)); these terms are used herein only for purposes of distinguishing the various ways to earn Wyndham Rewards points and not to convey any differences in value or restrictions on use. For purposes of these Terms and Conditions:
- “Base Points” refers to Wyndham Rewards points earned by a Member for completing a Qualified Stay or any variety of Go Fast award stay at a Participating Property in accordance with the earning ratio set forth in the chart contained in Section II(B)(5);
- “Promotional Points” means Wyndham Rewards points earned by a Member in connection with a limited time offer, promotion or special rate offered by Sponsor;
- “Accelerated Earning Points” refers to Wyndham Rewards points earned by a Gold, Platinum or Diamond Member on a Qualified Stay in accordance with Section II(B)(6); and
- “Go Get ‘Em Points” refers to Wyndham Rewards points earned by a Member for a Qualified Stay where the sum of Base Points and Accelerated Earnings Points is less than 1000, in accordance with Section II(B)(7).
6. Participating Properties, Redemption Only Destinations and “vacation club resorts and vacation rentals” defined
Participating Hotels (as defined in Section I(7)), Participating Destinations (as defined in Section I(8)), Participating Caesars Rewards Properties (as defined in Section I(9)), and any other property/ies Sponsor may advertise from time to time as offering the opportunity for Members to earn Wyndham Rewards points pursuant to these Terms and Conditions will collectively be referred to herein as “Participating Properties”. (Participating Properties may sometimes be referred to as “Wyndham Rewards properties” in advertising.) “Participating Properties” does not include Vacasa Vacation Rentals (as defined in Section III(D-2)(1)) or Redemption Cottages (as defined in Section III(E)(1)), which may occasionally be referred to herein collectively as “Redemption Only Destinations”. Participating Destinations and Redemption Only Properties are frequently referred to in advertising as “vacation club resorts and vacation rentals” but that term is intended to include all of the following types of properties: Participating Destinations, Vacasa Vacation Rentals and Redemption Cottages. As more particularly set forth in these Terms and Conditions, while Members can redeem Wyndham Rewards points for stays at Redemption Only Destinations, they cannot earn points or Travel Partner Currency for stays there. Without limiting any term or condition of these Terms and Conditions, to earn points for a stay, the applicable property must be a Participating Property.
7. Participating Hotels
"Participating Hotels" are defined as all “By Wyndham” hotels and other “By Wyndham” lodging facilities operating under a franchise, license or management agreement with a participating "Hotel Chain" at the time in question. The participating Hotel Chains are currently AmericInn by Wyndham®, Baymont by Wyndham®, Days Inn by Wyndham®, Dazzler by Wyndham, Dolce Hotels and Resorts® by Wyndham, Esplendor® Boutique Hotels by Wyndham, Hawthorn Suites by Wyndham®, Howard Johnson by Wyndham®, La Quinta by Wyndham®, Microtel Inn & Suites by Wyndham®, Ramada by Wyndham®, Registry CollectionSM Hotels, Super 8 by Wyndham®, Trademark Collection by WyndhamTM, Travelodge by Wyndham®, TRYP by Wyndham®, Vienna House® by Wyndham, Wingate by Wyndham®, Wyndham Alltra, Wyndham Grand®, Wyndham Hotels and Resorts®, and Wyndham Garden® branded hotels worldwide but are subject to change at any time without notice. For clarity, ECHO SuitesSM Extended Stay by Wyndham is not a participating Hotel Chain. Notwithstanding the foregoing, (a) hotels and lodging facilities that are co-branded with Trademark Collection by WyndhamTM and Caesars are not considered Participating Hotels for purposes of these Terms and Conditions and instead are deemed Participating Caesars Rewards Properties (as that term is defined in Section I(9) hereunder; and (b) the following properties are not Participating Hotels and do not allow for earning of points or Travel Partner Currency: Wyndham Concorde Isla Margarita, The H Hotel, and the Bank of Montreal Institute for Learning. Visit the Wyndham Rewards website or call Wyndham Rewards Member Services at the applicable number provided here to locate a property in a location you wish to visit. Notwithstanding anything to the contrary contained in these Terms and Conditions, for the avoidance of doubt, Travelodge properties outside of the United States, Canada and Mexico are not owned or operated by, or otherwise affiliated with, Wyndham Rewards, Inc. or Wyndham Hotels & Resorts, Inc. and do not participate in the Program; as used in these Terms and Conditions, the term "Travelodge" is intended to refer only to Travelodge branded properties located in the United States, Canada and Mexico. Participating Hotels may sometimes be referred to as "Wyndham Rewards hotels" in advertising.

9. Participating Caesars Rewards Properties

10. Qualified Stays
A "Qualified Stay" occurs when: (A) a Member stays one or more consecutive nights at the same Participating Property, which number of nights satisfies the applicable Participating Property’s minimum length of stay requirements (if any); (B) the nightly rate(s) for such Member’s accommodations, over the course of such Member’s stay, added together (but excluding taxes, surcharges and any other charges or fees for all Hotel Chains other than Dolce Hotels and Resorts, Wyndham Grand, Wyndham Hotels and Resorts, and Wyndham Garden, where taxes, surcharges and any other charges or fees are included), total at least US $25.00 (the "Minimum Total Rate"); (C) in the case of Participating Destinations and Participating Caesars Rewards Properties, such Member provides his or her Wyndham Rewards membership number during the reservation process; (D) such Member pays all amounts payable for such stay in accordance with the Participating Property’s then applicable payment policies; (E) in the case of Participating Hotels, the stay is booked via www.wyndhamhotels.com/wyndham-rewards, www.wyndhamhotels.com, the Wyndham Hotel & Resorts App, the applicable Member Services telephone number provided here ; the official brand website of the applicable participating Hotel Chain (as such term is defined in Section I(7) above), the official (800) number of the applicable Hotel Chain as listed on such site, or on site at the applicable Participating Hotel; (F) in the case of Participating Destinations and Participating Caesars Rewards Properties, the stay is booked via www.wyndhamrewards.com, www.wyndhamhotels.com, the Wyndham Rewards App or the applicable Member Services telephone number provided here. For clarity, and without limiting anything contained in the foregoing sentence, an online booking for a stay at a Participating Caesars Rewards Property or Participating Destination must be made on a website whose address includes “www.wyndhamhotels.com” in order for such stay to be deemed a Qualified Stay. If a Member checks out and then checks back in to the same Participating Property on the same day, it will count as a single stay for purposes of calculating a Qualified Stay. Notwithstanding anything to the contrary contained in this Section 10, certain stays at Participating Hotels which meet the criteria set forth in clauses (A), (B) and (D) above, but which are booked through independent travel agents, may also be Qualified Stays; please check with your independent travel agent prior to booking to confirm whether or not the applicable stay will be deemed a Qualified Stay.
11. Stays that are not Qualified Stays
Notwithstanding anything to the contrary contained in these Terms and Conditions, if the rate for any night at a Participating Property falls into any of the following categories or is obtained by any of the following methods (as applicable), such night will not be deemed a Qualified Stay:
- Contract (e.g., Airline Crew): rates offered by properties at their discretion to companies that guarantee payment for a group of room nights over an extended time period, regardless of whether or not such rooms are actually used;
- All third-party website or on-line bookings (i.e., all website and on-line bookings made on websites, apps or digital platforms, as well as any bookings made by telephone with any such third-party, in each case, other than those described in Section I(10) above) irrespective of the rate paid or whether the brand affiliation of the Participating Property is known at the time of booking. For the avoidance of doubt, and without limitation, all bookings made on websites such as priceline.com, hotwire.com booking.com, orbitz.com, travelocity.com, expedia.com, ticketsatwork.com, plumbenefits.com, workingadvantage.com, and memberdeals.com (and all bookings otherwise made through any such third party).
- Wholesale Allotment: contracted rates offered by Participating Hotels to wholesale companies or tour operators;
- Wholesale Discount: contracted rates offered by Wyndham Hotels & Resorts to wholesale companies or tour operators;
- Non-Revenue Generating (for example and without limitation, complimentary room nights and nights obtained using any form of Go Free® award described in Sections III(C-1) through (E-2) below, even in cases where resort fees, food and beverage, supplemental room occupancy fees for additional guests and/or other incidental fees are charged); and
- The various forms of Go Fast awards described in Sections III(G-1) through (I) below).
Except as otherwise specifically set forth in these Terms and Conditions with respect to the various forms of Go Fast award stays at Participating Properties, stays that are not Qualified Stays will not qualify for Wyndham Rewards points or Travel Partner Currency.
12. Redemption Options
As more particularly described in Section III, Wyndham Rewards Members can redeem points for:
(a) the various forms of Go Free awards more particularly described in Sections III(C-1) through (E-2) below,
(b) the various forms of Go Fast awards more particularly described in Sections III(G-1) through (I) below,
(c) rewards offered by participating partner travel programs, participating merchants and participating service providers as described in detail in Section III.
All third parties offering redemption options other than Go Free and Go Fast awards are occasionally referred to in these Terms and Conditions collectively as "Rewards Participants".
13. Partnerships
Sponsor is not responsible for the terms and conditions, products, services or membership requirements of, or any other aspects of the programs offered by current or former Earning Participants, Rewards Participants or other current or former Wyndham Rewards partners, including, without limitation, Viator, Inc., Maritz Motivation Solutions, Inc., Collinson Limited, Vacasa LLC (the entity which accepts Wyndham Rewards points for free stays at Vacasa Vacation Rentals pursuant to these Terms and Conditions), Extra Holidays, LLC (the entity which accepts Wyndham Rewards points for free and discounted stays at Participating Destinations pursuant to these Terms and Conditions), Vacation Rentals (UK) Ltd. (the entity which accepts Wyndham Rewards points for free stays at Redemption Cottages pursuant to these Terms and Conditions), Caesars Entertainment Corporation (the entity which accepts Wyndham Rewards points for free and discounted stays at Participating Caesars Rewards Properties pursuant to these Terms and Conditions), Visa Inc. and Barclays Bank Delaware (Barclaycard).
14. Point Expiration, Cancellation and Account Inactivity
Except as may otherwise be required under applicable law, Wyndham Rewards points expire four (4) years after the checkout date of the stay for which the applicable points are posted to the Member's account (the “Four Year Rule”), unless the points are forfeited or cancelled earlier due to membership inactivity (as more particularly described below), or otherwise in accordance with these Terms and Conditions. All accrued points in a Member's Wyndham Rewards account may be cancelled or forfeited if the Member has no Account Activity (as defined below) for a period of approximately, but never less than, eighteen (18) consecutive months. For purposes of these Terms and Conditions, "Account Activity" means any (i) point earning, (ii) stay posted to a Member’s Wyndham Rewards account, regardless of whether or not such stay earns Wyndham Rewards points, and (iii) redemption or transfer activity involving a change in the Member's Wyndham Rewards point balance, in each case, conducted in accordance with these Terms and Conditions. All issues related to the value, redemption and expiration of Travel Partner Currency will be governed by the terms and conditions then in effect for the applicable program.
15. Account Termination
A Member's Wyndham Rewards account may be terminated if the Member has no Account Activity (as defined in Section I(14) above) for a period of sixty (60) consecutive months. Except as may otherwise be required under applicable law, all Wyndham Rewards points remaining in a Member’s account at the time of such termination will be deemed forfeited.
16. Point Transfer
Wyndham Rewards points in a Member's account do not constitute property of the Member, have no cash value, and cannot, except as otherwise explicitly authorized in these Terms and Conditions, be sold, bartered or transferred by Member or any other party (other than Sponsor or its authorized agents) during or after the Member's life, by operation of law or otherwise.
17. Point Balance
Sponsor, at its option, may send to Members periodic statements by mail or electronically. Members may access their Wyndham Rewards point balance and earning history at any time online or by calling Wyndham Rewards Member Services at the applicable telephone number provided here. Wyndham Rewards Member Services will be closed on certain United States holidays including: Memorial Day (last Monday in May), Independence Day (July 4), Labor Day (1st Monday in September), Thanksgiving (4th Thursday in November), Christmas (December 25) and New Year's Day (January 1).
18. Fraud
Fraud or abuse of Program, Sponsor representatives, or staff or guests or theft and/or damage at any Participating Property or Redemption Only Destination by Members is subject to administrative action by the Sponsor including, but not limited to termination of the Member's Wyndham Rewards account and any benefits associated with the Member’s then current Member Level, as described in Section IV(C), below, forfeiture of all accrued Wyndham Rewards points, Travel Partner Currency, and/or cancellation of any previously issued rewards. Without limiting the foregoing, sponsor may terminate or suspend a Member's Program membership, including, but not limited to cancelling points in his/her account, if the Member (a) fails to pay the bill of any hotel or other property or travel supplier participating in the Program, or any other Earning Participant or Rewards Participant; and/or (b) transfers, sells, barters, commercially distributes or otherwise uses any Wyndham Rewards points, Go Free award, Go Fast award or any other reward or item received in exchange for the redemption of Wyndham Rewards points, in violation of these Terms and Conditions, or otherwise uses any of the foregoing for improper purposes, in each case, as determined by Sponsor in its sole and absolute discretion.
19. No Representations or Warranties
SUBJECT TO APPLICABLE LAW, SPONSOR AND ITS AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR COLLATERAL, REGARDING ANY PRODUCT(S) OR SERVICE(S) PROVIDED BY ANY EARNING PARTICIPANT OR REWARDS PARTICIPANT OR ANY OTHER PARTY, INCLUDING, BUT NOT LIMITED TO, ANY WARRANTY OR CONDITION OF QUALITY, DURABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR OR GENERAL PURPOSE, NON-INFRINGEMENT, QUIET ENJOYMENT, OR ACCURACY. SPONSOR AND ITS AFFILIATES SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTIES AND CONDITIONS OF QUALITY, DURABILITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR OR GENERAL PURPOSE, NON-INFRINGEMENT, QUIET ENJOYMENT, OR ACCURACY WITH RESPECT TO SUCH PRODUCTS AND SERVICES. To the extent permitted by law, Sponsor and its affiliates will not be responsible for performance of, or failure to perform by, any Earning Participant or Rewards Participant or any other party, or for any costs, damages, accident, delay, injury, loss, expense, or inconvenience that may arise in connection with the delivery, receipt, use and/or misuse of, or any defect or failure in, any products or services of any Earning Participant or Rewards Participant or any other party.
20. Sponsor Not Responsible for Tax
Wyndham Rewards points, Travel Partner Currency, and rewards earned through the Program may be subject to tax, which is the sole responsibility of the Member and will not qualify to earn additional Wyndham Rewards points or Travel Partner Currency.
21. Program Participation – Where Void
Participation in the Program and/or the awarding and redemption of Wyndham Rewards points or Travel Partner Currency is void where prohibited by law.
22. Name & Address Changes
Members are responsible for communicating name and address change information to the Program via the Wyndham Rewards website or by calling Wyndham Rewards Member Services at the applicable telephone number provided here.
23. Website Terms of Use
Use of the Program website is subject to the Terms of Use found in the footer of all pages on wyndhamrewards.com. Without limiting such Terms of Use, (a) no warranties are made as to the content of the website or that the functioning of the website will be uninterrupted or error free; and (b) use of the website is at the Member's own risk.
24. Point Removal
In the event that any Wyndham Rewards points or Travel Partner Currency is erroneously posted to a Member’s account, Sponsor may have them removed from the Member’s account without notice.
25. Privacy Notice
Sponsor maintains its own consumer-facing privacy notice which is applicable to Members' participation in Sponsor's Program, which Sponsor may update from time to time (the "Privacy Notice"). The current version of the Privacy Notice can be found in the footer of all pages on wyndhamrewards.com, or can be obtained by sending a written request to the following address:

26. Membership Database
The personal information you provide is maintained in a database (the "Membership Database") that is owned and/or controlled by Wyndham Rewards, Inc., a wholly owned subsidiary of Wyndham Hotels & Resorts, Inc., located in the United States. The Membership Database is hosted and maintained by Phaedon. Please see our Privacy Notice for information about the ways we collect, process, use and share personal information. 27. Notice
Any notice required or permitted under these Terms and Conditions shall be immediately effective upon posting them on wyndhamrewards.com or any successor website for the Program.
28. DISPUTE RESOLUTION, ARBITRATION, MASS ARBITRATION, PROHIBITION OF CLASS ACTIONS; GOVERNING LAW; LIMITATIONS OF LIABILITY
This section is deemed to be a "written agreement to arbitrate" pursuant to the Federal Arbitration Act, and you and Sponsor each agree that this section is intended to satisfy the "writing" requirement of the Federal Arbitration Act.
THE FOLLOWING TERMS TO WHICH YOU ARE CONSENTING CONSIST OF A PRE-DISPUTE RESOLUTION PROCESS, BINDING ARBITRATION PROVISION, MASS ARBITRATION PROVISION, AND A CLASS-ACTION AND JURY TRIAL WAIVER.
To the fullest extent permitted by law, by using the WYNDHAM REWARDS PROGRAM, you and SPONSOR agree that if a dispute arises between you and the SPONSOR, SPONSOR’S PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES AND/OR AGENTS (SPONSOR, COLleCTIVELY WITH SUCH OTHER ENTITIES AND INDIVIDUALS, THE “SPONSOR PARTIES”) relating in any way to the WYNDHAM REWARDS PROGRAM or your use thereof, including common law or statutory claims, the dispute will be resolved in accordance with the provisions set forth in this section. PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND WILL IMPACT HOW CLAIMS YOU AND SPONSOR HAVE AGAINST EACH OTHER ARE RESOLVED. You and Sponsor agree that any and all disputes or claims that have arisen or may arise between you and Sponsor or any of the other SPONSOR PARTIES in connection with the Wyndham Rewards Program, including any products or services offered or sold in connection with the Wyndham Rewards Program and your use of and participation in the Wyndham Rewards Program, shall be resolved exclusively through confidential, final, and binding arbitration; provided that either party may file suit in court seeking to enjoin infringement, misappropriation, or misuse of its intellectual property rights. YOU ARE GIVING UP THE RIGHT TO LITIGATE A DISPUTE IN COURT BEFORE A JUDGE OR JURY.
PRE-ARBITRATION DISPUTE RESOLUTION: You and Sponsor agree that whenever you or Sponsor have a disagreement (“Dispute”) with the other arising out of, connected to, or in any way related to the Wyndham Rewards Program that is subject to the arbitration provision herein, you and Sponsor will first send a written notice to the other party (a “Demand”). You and Sponsor agree that the requirements of this Dispute Resolution section will apply even to disagreements that may have arisen before you accepted these Terms and Conditions. You must send the Demand to the following address (the “Notice Address”): Wyndham Rewards, Inc., Attn: Legal Department, 22 Sylvan Way, Parsippany, New Jersey, 07054. Sponsor must send the Demand to you via certified mail to the most recent address Sponsor has on file for you (or by email if Sponsor only has an email address for you on file). A Demand (1) shall seek to resolve a Dispute only on an individual basis (i.e., between you and the applicable SPONSOR PARTY/IES); (2) shall state the full basis for the Dispute (including the details about the Dispute sufficient for the recipient to review and respond) and the date that the Dispute arose; (3) shall provide the individual claimant’s full name, phone number, and email address to confirm their identity and to aid communication; and (4) shall be personally signed by the individual claimant or for Sponsor by its authorized representative (and not only their counsel). Within twenty (20) business days of receipt of a Demand, the recipient may request an individualized video or telephone conference to attempt in good faith to resolve the Dispute which both you and Sponsor will personally attend (with counsel, if represented). You and Sponsor agree that you and Sponsor will not take any legal action, including filing a lawsuit or demanding arbitration, until after the period to request a conference expires or, if a conference is requested, twenty (20) business days after the individualized conference is completed. Compliance with this informal dispute resolution procedure section is mandatory and a condition precedent to initiating any lawsuit or arbitration. This procedure is essential to providing each of us a meaningful opportunity to resolve Disputes informally. Any applicable limitations periods and filing fee deadlines will be tolled while the parties engage in the process set forth above. A court of competent jurisdiction may enjoin the filing or prosecution of a lawsuit or arbitration if these requirements have not been met.
ARBITRATION PROCEDURE: If the Dispute stated in the Demand is not resolved to your or Sponsor’s satisfaction within ten (10) business days after the conference described above (or within ten (10) business days after the time when such a conference may be requested if no conference has been requested), and you intend on taking legal action, you agree that you will file a demand for arbitration with JAMS. The arbitration will be conducted under JAMS’s Comprehensive Rules & Procedures, including the JAMS's Consumer Rules (as applicable), as modified by this Agreement to Arbitrate. The JAMS's rules and a form for initiating arbitration proceedings are available on the JAMS's website at: https://www.jamsadr.com/rules-comprehensive-arbitration/. The arbitrator, and not any federal, state, provincial, territorial or local court or agency, shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of these Terms and Conditions, including, but not limited to, any claim that all or any part of these Terms and Conditions is void or voidable, except that a court of competent jurisdiction may enjoin the filing or prosecution of an arbitration if the Pre-Arbitration Dispute Resolution requirements set forth above have not been met.
The arbitration shall be held in the county in which you reside or at another mutually agreed location. If the value of the relief sought is $10,000 or less, either you or Sponsor may elect to have the arbitration conducted by telephone and/or video conference or based solely on written submissions, which election shall be binding on the other party subject to the arbitrator's discretion to require an in-person hearing if the circumstances warrant. Attendance at an in-person hearing may be made by telephone and/or video conference, unless the arbitrator requires otherwise. The arbitrator will decide the substance of all claims in accordance with the laws of the State of New Jersey, including recognized principles of equity, and will honor all claims of privilege recognized by law.
CLASS ACTION WAIVER: You and Sponsor agree that each of us may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding. Unless both you and Sponsor agree otherwise or the Mass Arbitration provisions set forth below are triggered, the arbitrator may not consolidate or join more than one person's or party's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding. Also, the arbitrator may award relief (including monetary, injunctive, and declaratory relief) only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that party's individual claim(s). Any relief awarded cannot affect any other person or party. You and Sponsor further agree that in the event this arbitration agreement is held to be unenforceable for any reason, the prohibitions on class and representative actions and non-individualized relief set forth in this paragraph are severable and shall apply to any claim between you and Sponsor in any forum. YOU ARE GIVING UP THE RIGHT TO COMMENCE OR PARTICIPATE IN CLASS AND REPRESENTATIVE ACTIONS. The arbitrator's award shall be confidential, final, and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Payment of all filing, administration, and arbitrator fees will be governed by JAMS's rules.
Mass Arbitration:
If, at any time, 25 or more claimants (including you) submit Demands or seek to file demands for arbitration raising similar claims against Sponsor, and such circumstances meet the definition and criteria of Mass Filings (“Mass Filing”) set forth in National Arbitration & Mediation’s (“NAM”) Mass Filing Supplemental Dispute Resolution Rules and Procedures (“NAM’s Mass Filing Rules”) available at https://www.namadr.com/resources/rules-fees-forms/), you and Sponsor agree that JAMS shall not serve as arbitrator and that instead NAM shall administer any Mass Filing claims and the NAM Mass Filing Rules in effect at the time such claim is filed shall apply as modified below. You agree that throughout this process, the parties’ counsels shall meet and confer to discuss modifications to these procedures based on the particular needs of the Mass Filing. You acknowledge and agree that your election to participate in a Mass Filing may result in a delay in the adjudication of your dispute with Sponsor. Any applicable limitations periods and filing fee deadlines will be tolled while the parties engage in the process set forth below.
Stage One: Counsel for the claimants and counsel for Sponsor shall each select 15 claims per side (30 claims total) to be filed and to proceed in individual arbitrations as part of a staged process. Each of these individual arbitrations shall be assigned to a different, single arbitrator unless the parties agree otherwise in writing. Any remaining claims shall not be filed or be deemed filed in arbitration, nor shall any arbitration fees be assessed in connection with those claims unless and until they are selected to be filed in individual arbitration proceedings as part of a staged process. After this initial set of staged proceedings is completed, the parties shall promptly engage in a global mediation session of all remaining claims with a retired federal or state court judge and Sponsor will pay the mediator’s fee.
Stage Two: If the remaining claims are not resolved at this time, counsel for the claimants and counsel for Sponsor shall each select 20 claims per side (40 claims total) to be filed and to proceed in individual arbitrations as part of a second staged process, subject to any procedural changes the parties agreed to in writing. Each of these individual arbitrations shall be assigned to a different, single arbitrator unless the parties agree otherwise in writing. Any remaining claims shall not be filed or be deemed filed in arbitration, nor shall any arbitration fees be assessed in connection with those claims unless and until they are selected to be filed in individual arbitration proceedings as part of a staged process. After this second set of staged proceedings is completed, the parties shall promptly engage in a global mediation session of all remaining claims with a retired federal or state court judge and Sponsor will pay the mediator’s fee.
If your Claim is not resolved as part of the staged process identified above, either:
Option One: You and we may separately or by agreement, opt out of arbitration and elect to have your Claim heard in court consistent with these Terms. You may opt out of arbitration by sending us your individual, personally signed notice of your intention to opt out by certified mail addressed to the Notice Address. Such an opt-out notice must include a statement, personally signed by you, that you wish to opt out of arbitration within 30 days after the conclusion of Stage Two or the elective mediation associated with Stage Two. We may opt your Claim out of arbitration by sending an individual, personally signed notice of our intention to opt out to your counsel within 14 days after the expiration of your 30-day opt out period. Counsels for the parties may agree to adjust these deadlines.
OR
Option Two: If neither you nor we elect to have your Claim heard in court consistent with Option One, then you agree that your Claim will be resolved as part of continuing, staged individual arbitration proceedings as set forth below. Assuming the number of remaining claims exceeds 100, then 100 claims shall be randomly selected (or selected through a process agreed to by counsels for the parties) to be filed and to proceed in individual arbitrations as part of a staged process. If the number of remaining claims is fewer than 100, then all of those claims will be filed and proceed in individual arbitrations. Any remaining claims will not be filed or be deemed filed in arbitration, nor will any arbitration fees be assessed in connection with those claims unless and until they are selected to be filed in individual arbitration proceedings as part of a staged process. After each set of 100 claims are adjudicated, settled, withdrawn, or otherwise resolved, this process shall repeat consistent with these parameters. Counsels for the parties are encouraged to meet and confer, participate in mediation, and engage with each other and with NAM (including through a Procedural Arbitrator, as such term is used in the NAM Rules) to explore ways to streamline the adjudication of claims, increase the number of claims to proceed at any given time, promote efficiencies, conserve resources, and resolve the remaining claims.
A court of competent jurisdiction shall have the authority to enforce these Mass Filing provisions and, if necessary, to enjoin the mass filing, prosecution, or administration of arbitrations and the assessment of arbitration fees. If these additional procedures apply to your Claim, and a court of competent jurisdiction determines that they are not enforceable as to your Claim, then your Claim will proceed in a court of competent jurisdiction consistent with these Terms.
You and we agree that each party values the integrity and efficiency of arbitration and wishes to employ the process for the fair resolution of genuine and sincere disputes between the parties. You and we acknowledge and agree to act in good faith to ensure the processes set forth herein are followed. The parties further agree that application of these Mass Filing procedures have been reasonably designed to result in an efficient and fair adjudication of such cases. If any part of this Mass Arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the NAM rules, then the balance of this Mass Arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision was not contained herein unless the lack of such provision would lead this Mass Arbitration provision to fail of its essential purpose. If the staging process of this Mass Arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the NAM rules, then the remaining claims shall be subject to Option One or Option Two above as selected by you or Sponsor. If the Mass Filing provisions apply to your claim, and a court of competent jurisdiction determines that the Mass Filing provisions are not enforceable as to your claim, then your claim will proceed in a court of competent jurisdiction on an individual basis (not a class or consolidated basis).
Governing Law. Except as otherwise prescribed herein, and subject to applicable law, these Terms and Conditions shall in all respects be construed, interpreted, and enforced in accordance with the substantive laws of the State of Delaware, without regard to its conflicts or choice of law principles. Member and Sponsor agree that the Program involves interstate commerce so as to ensure the applicability of the Federal Arbitration Act (“FAA”). In the event of a conflict between Delaware law and the FAA, the FAA shall govern. If any portion of these Terms and Conditions are deemed invalid or unenforceable, the remainder of these Terms and Conditions shall remain in force.
Limitation of Liability. MEMBER EXPRESSLY AGREES THAT IN NO EVENT SHALL SPONSOR, ITS PARENT ENTITIES, SUBSIDIARIES, AFFILIATES, REPRESENTATIVES, DIRECTORS, OFFICERS, EMPLOYEES, AND THE PREDECESSORS, SUCCESSORS, AGENTS AND/OR ASSIGNS OF EACH OF THEM BE LIABLE TO ANY MEMBER OR MEMBERS FOR CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, AGGRAVATED, OR ENHANCED DAMAGES ARISING OUT OF, RELATING TO, AND/OR IN CONNECTION WITH THE PROGRAM, INCLUDING, WITHOUT LIMITATION, ITS TERMS AND CONDITIONS, REGARDLESS OF WHETHER OR NOT THE POSSIBILITY OF ANY SUCH DAMAGES HAS BEEN DISCLOSED TO ANY OF THE FOREGOING ENTITIES OR INDIVIDUALS, OR COULD HAVE BEEN REASONABLY FORESEEN BY ANY OF THEM. MEMBER EXPRESSLY WAIVES ANY RIGHT TO SEEK RELIEF IN EXCESS OF THE LIMITATION OF LIABILITY SPECIFIED IN THIS PARAGRAPH.
