1.  SPONSOR: The Sponsor for this Sweepstakes is Wyndham Hotel Group, LLC (“Company” or “Sponsor”), 22 Sylvan Way, Parsippany, New Jersey 07054 USA.  Berlin Productions, Inc, Yorktown Heights, NY 10598 USA is the Sweepstakes Administrator (“Administrator”).

2.       ELIGIBILITY: The Sweepstakes is open only to legal U.S. residents who are 18 years of age or older (19 years of age in Alabama and Nebraska, 21 years of age in Mississippi) and to legal Canadian residents, excluding residents of Quebec, who have reached the age of majority in their jurisdiction of residence as of the time of entry [18 or 19 years of age depending on one’s province or territory of residence] (each, an “Entrant”). Entrants are required to be a Wyndham Rewards member prior to entry. Employees, officers, directors and agents of Company, any other company involved in the presentation, administration or fulfillment of the Sweepstakes, and/or their respective subsidiaries, affiliated companies and divisions (collectively, the “Sweepstakes Entities”), and each of their immediate family members (defined as any spouse, partner, parent, legal guardian, sibling, child, legal ward, grandparent, or grandchild, regardless of where they reside) and/or those living in the same household are not eligible to enter or win. Sponsor reserves the right to verify the eligibility of winners. Participation constitutes Entrant’s full and unconditional agreement to these Official Rules and to Sponsor’s decisions, which are final and binding in all matters related to the Sweepstakes.

 

3.       HOW TO ENTER:  During the Sweepstakes Period, go to https://www.wyndhamhotels.com/wyndham-rewards/hotel-deals/travel-sweepstakes and log into your Wyndham Rewards account. Once you are logged in, complete and submit the entry form with all required information, including a valid home address, name and email address (“Entry”). Upon completion and submission of the entry form, while logged into your Wyndham Rewards account, you automatically will receive one (1) entry into the Sweepstakes.

 

LIMIT ONE (1) ENTRY PER PERSON THROUGHOUT THE SWEEPSTAKES PERIOD. ADDITIONAL ENTRIES IN EXCESS OF THE LIMIT WILL BE DISQUALIFIED. Automated and/or third-party entries are prohibited and will be disqualified. Multiple Entrants are not permitted to share the same email address. Any attempt by any Entrant to obtain more than the permitted number of entries by using multiple and/or different identities, forms, registrations, addresses or any other method will void all of that Entrant’s entries, and that Entrant may be disqualified at Sponsor’s and/or Administrator’s discretion. Normal Internet, phone and usage charges imposed by your online or phone service may apply. Incomplete, illegible, corrupted or untimely entries are void and will be disqualified. Sponsor and its agencies are not responsible for lost, late, incomplete, damaged, stolen, misdirected or illegible entries; lost, interrupted or unavailable network, server or other connections; or miscommunications, computer or software malfunctions, telephone transmission problems, technical failures, garbled transmissions, damage to a user’s computer equipment (software or hardware) or other errors or malfunctions of any kind, whether human, mechanical, electronic or otherwise. Proof of sending or submission will not be deemed to be proof of receipt by Sponsor and/or Administrator. In the event of a dispute as to the identity of an Entrant, the authorized account holder of the email address used to enter will be deemed to be the Entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider, Internet service provider or other organization (which may include an employer) responsible for assigning email addresses for the domain associated with the submitted address. Potential winner may be required to show proof of being the authorized account holder. Entries specifying an invalid, non-working or inactive email address will be disqualified and ineligible to win.

4.       SELECTION OF WINNERS: On or about April 10, 2025, Sponsor will select the names of potential winners of prizes in a random drawing from among all eligible entries received during the Sweepstakes Period. The random drawing will take place at Administrator’s office in Yorktown Heights, NY USA or another location determined by Sponsor. The odds of winning any prize are based on the number of eligible entries received; the odds of an entrant winning a specific prize are based on the type and number of prizes remaining at the time the winner has been verified (as discussed below). The initially selected potential winner will be notified on or about April 14, 2025 by email to the email address associated with their Entry. The potential winner who is selected first in the random drawing will choose from among all five (5) Grand Prizes, all five (5) First Prizes and all twenty (20) Second Prizes. Provided that such potential winner is verified (as set forth below), the prize they selected will be awarded to them and removed from the prize pool. The next potential winner selected in the random drawing will then be notified and, if verified, will choose from among the remaining unawarded prizes, and the prize they selected will be awarded to them and removed from the pool of prizes that may be selected by subsequent winner(s). (If a potential winner does not wish to accept any prizes in the pool of remaining available prizes (to the extent applicable), their sole recourse is to decline the opportunity to choose a prize, in which case Sponsor and Administrator will have no liability to them under any legal theory.) This process will continue until such time that (a) all prizes are awarded or (b) Sponsor/Administrator is unable to verify winner(s) after repeated alternate drawings or (c) if Sponsor fails to receive a sufficient number of eligible entries to correspond to the number of prize(s) available and remaining to be awarded.  For clarity, once all the Grand Prizes have been awarded, a subsequent potential winner may only select a First Prize or Second Prize.   Once all Grand Prizes and First Prizes have been awarded, a subsequent potential winner may only be awarded a Second Prize.

For prizes with a value of more than US$600, each potential prize winner must sign and return, within three (3) days of being notified, an Affidavit/Declaration of Eligibility, Liability & Publicity Release (“Affidavit”) in order to claim their prize. If a potential winner cannot be contacted via email after the first attempt to contact them, or if they fail to sign and return the Affidavit/Declaration of Eligibility, Liability & Publicity Release, an IRS W-9 Tax Form with his/her Social Security Number or Tax Identification Number (or similar Tax Form for a Canadian resident) or any other documentation that Sponsor may require within the required time period (if applicable), or if potential winner is unwilling or unable or unavailable to select (if applicable) or claim prize within any time period specified by Sponsor, or in the event that a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner selected by a random drawing from among all remaining eligible entries (in the manner set forth above). For clarity, the disqualified winner’s prize selection is void and the applicable prize restored to the prize pool.  If Sponsor is unable to determine and verify a potential winner after repeated alternate drawings or if Sponsor fails to receive a sufficient number of eligible entries to correspond to the number of prize(s) available and remaining to be awarded, Sponsor reserves the right to not award any or all of such remaining prize(s). In order to be declared a Winner, any potential Winner who is a resident of Canada will be required to correctly answer a time-limited mathematical skill-testing question without aid of any computational device or other assistance of any kind.

Verification of Potential Winners: ALL POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR/ADMINISTRATOR, WHOSE DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE SWEEPSTAKES. AN ENTRANT IS NOT A WINNER OF ANY PRIZE UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE.

Winner will receive a trip for four (4), including (i) roundtrip coach airfare for winner and winner’s guests from an airport near the winner’s home to an airport near Lake Buena Vista/Orlando, FL, (ii) a five (5) night stay at the Wyndham Lake Buena Vista Disney Springs® Resort Area Resort Hotel (one room, quadruple occupancy), 2-Day Hopper Pass at Walt Disney World® Theme Park in Orlando, FL (iii) a standard sized rental car for use during the prize trip, (iv) one (1) dinner for four (4) at Chef Art Smith's Homecomin', (v) four (4) tickets to one (1) Cirque du Soleil performance, (vi) winner’s choice of one round/18 holes of golf for winner and guests or a round of foot golf for winner and guests at Walt Disney World® Golf Course, (vii) one (1) bowling party at Splitsville Luxury Lanes, (viii) $500 in spending money for winner, plus (ix) 30,000 Wyndham Rewards points for winner.  Dinner at Chef Art Smith's Homecomin' Restaurant does not include alcohol and winner/guest are solely responsible for advising restaurant of dietary restrictions.

Winner will receive a trip for two (2) to New York City, including (i) roundtrip coach airfare for winner and winner’s guest from an airport near the winner’s home to an airport near New York, New York, (ii) a three (3) night stay at a Wyndham hotel in midtown Manhattan of Sponsor’s sole choosing (one room, double occupancy), (iii) ground transportation to/from airport near New York, NY and Wyndham hotel in midtown Manhattan, (iv) one (1) dinner for two at the Red Rooster Harlem restaurant in NYC, (v) $800 in spending money, plus (vii) 30,000 Wyndham Rewards points for winner.  Dinner at the Red Rooster restaurant awarded as a $300 restaurant gift card, does not include alcohol and winner/guest are solely responsible for advising restaurant of dietary restrictions.

Winner will receive a trip for two (2) to a Wyndham Vacation Clubs resorts hotel of winner’s choice from among a list of Wyndham resort hotels provided by Sponsor (options include: Club Wyndham Pagosa, Legacy Golf Resort, Margaritaville Vacation Club St. Thomas, or Vino Bello Resort), including (i) roundtrip coach airfare for winner and winner’s guest from an airport near the winner’s home to an airport near the selected Wyndham hotel destination, (ii) a five (5) night stay at the Wyndham hotel of winner’s choice (one room, double occupancy), (iii) a standard sized rental car for use during the prize trip, (iv) $250 in spending money, and (v) 30,000 Wyndham Rewards points for winner.  

ARV of Grand Prize C: US$4,820 (with the approximate retail value of the roundtrip coach airfare based on sample travel between Los Angeles, CA and New York, NY.

 

Grand Prize D: Stay + Cruise Travel Bundle.

Winner will receive a trip for two (2), consisting of (i) a cruise of up to eight (8) nights (one balcony room/double occupancy) of winner’s choice from among a list of cruises from the United States to the Caribbean, Bahamas, Bermuda, Mexico, or Canada, (ii) roundtrip coach airfare for winner and winner’s guest from an airport near the winner’s home to an airport near the port of embarkation/disembarkation, (iii) a one (1) or two (2) night stay (as applicable) at a Wyndham hotel near the port of embarkation/disembarkation, (iv) select ground transportation in conjunction with travel to and from port of embarkation/disembarkation, (v) cruise drink allowance and $500 on-board credit; restrictions apply, and (vi) 30,000 Wyndham Rewards points for the winner.

ARV of Grand Prize D: US$7,050 (with the approximate retail value of the roundtrip coach airfare based on sample travel between Los Angeles, CA and New York, NY.

 

Grand Prize E: Seven Night stay at a Wyndham upscale or a Wyndham all-inclusive resort.

Winner will receive 210,000 Wyndham Rewards points, redeemable for up to 7 nights (one room) at any of our 30,000-point participating Wyndham properties in accordance with terms of Wyndham Rewards points redemption.

ARV of Grand Prize E: US$2,730.

 

The aggregate value of all five (5) Grand Prizes is US$27,955.

 

Ground transportation, rental car, dinner, entertainment and spending components of travel prizes may be awarded as gift cards/debit cards at sole discretion of Sponsor from a recognized bank or credit/debit card provider of Sponsor’s sole choosing. Use of such gift/debit cards subject to terms indicated by issuer.

With regard to Grand Prizes, with the exception of Grand Prize E, receipt of Rewards Points is conditioned on acceptance of the other elements of the Grand Prize.

 

First Prize (5)

There will be five (5) First Prizes, each consisting of 90,000 Wyndham Rewards points.  

ARV of First Prize:  US$1,170.00 each;  US$5,850 in the aggregate.

 

Second Prize (20)

There will be twenty (20) second Prizes, each consisting of 45,000 Wyndham Rewards points.  ARV of Second Prize: US$585.00 each; US$11,700 in the aggregate.

 

Total ARV of all prizes to be awarded: US$45,505.  Limit one (1) prize per person.

 

RESTRICTIONS ON PRIZES THAT INCLUDE TRAVEL COMPONENTS: To receive any rental car benefit, winner must meet the minimum age requirements of the car rental company and have a valid driver’s license and credit card (subject to terms and conditions of car rental company); winner will be responsible for any associated additional costs (including insurance, gas, additional taxes, etc.). In the event that winner does not meet these and the other requirements as specified by the car rental company, this portion of the prize will be forfeited and no cash difference will be awarded, except at Sponsor’s discretion.

For Grand Prizes “A,” “B,” C,” and “D”:  if any element of Grand Prize (other than Wyndham Rewards points) is unused by winner for any reason, such unused prize element will be forfeited by winner and winner will not receive any substitute prize, compensation or consideration in conjunction therewith.

 

ARV of an individual travel prize may vary depending on point of departure, travel dates and fare/rate fluctuations. Winner is not entitled to difference between value of prize as stated in these Official Rules and value on date of travel.

Travel restrictions, conditions and limitations may apply. Prize winner may request preferred dates for travel; however, final dates for travel to be determined at Sponsor’s discretion. Once determined, winner must be available to travel on dates specified by Sponsor or risk forfeiting prize. Black-out dates, advanced notice requirements and other restrictions may apply. Travel must be completed by April 30, 2026.

 

All meals (except where otherwise indicated), ground transportation and incidentals not described herein and incurred by prize winner and their guest(s) will be the sole responsibility of the prize winner and/or their guest(s). Sponsor or its agents will determine which airport is closest to the winner’s home; if winner resides within a 100-mile radius of the destination selected (or the destination specified in the prize description), Sponsor reserves the right to substitute round-trip ground transportation to/from winner’s residence in lieu of air transportation. Winner and guests must travel together.  No compensation will be awarded in lieu of the difference in the ARV for the prize for a local resident and the ARV for a prize winner who is not a local resident. Travel is subject to availability. Winner and guests are responsible for obtaining all necessary travel documents; if winner is a Canadian resident and depending on prize selected, such travel documents may include passport. Travel arrangements must be made through Sponsor’s agent and on an airline carrier of Sponsor’s choice. Certain travel restrictions may apply. Guests must be at time of prize fulfillment the age of majority in the jurisdiction in which they reside (and at least eighteen (18) years of age), unless accompanied by a parent or legal guardian, and parent/legal guardian must complete and return a liability/publicity release and any other documentation required by Sponsor prior to prize award. Guest may be a minor in their jurisdiction of residence only if their parent or legal guardian is the Winner, minor’s parent/legal guardian must complete and return all releases on behalf of any such minor guest. Winner and guest(s) must travel together on the same itinerary. If winner elects to travel or participate in the prize travel without a guest or with a fewer number of guests than permitted in the prize description, no additional compensation will be awarded.  Winner and guests are also responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that Sponsor has not obtained and will not obtain or provide travel insurance or any other form of insurance.  No refund or compensation will be made in the event of the cancellation or delay of any flight except at Sponsor’s discretion.  Travel is subject to the terms and conditions set forth in this Sweepstakes and Official Rules, and those set forth by Sponsor’s airline carrier of choice as detailed in the passenger ticket contract. The passenger contracts in use by the airlines or other transportation companies shall constitute the sole contracts with respect to the prize winners’ and their guests’ transportation, and such contracts shall be solely between the prize winner, their guests and such transportation companies. Lost, stolen or damaged airline tickets will not be replaced or exchanged. With the exception of stopovers approved in advance at Sponsor’s sole discretion, no stopovers are permitted on tickets issued as part of the prize. If a stopover occurs, the travel prize will terminate and winner and their guest(s) will be responsible for the full fare, which will be charged from the stopover point for the remaining trip segment(s), including the return. Airline tickets issued in connection with the prize may not be eligible for frequent flyer miles or upgrades. Winners and guests must comply with all hotel check-in requirements, including, but not limited to, the presentation of a payment card. Air transportation and hotel accommodations must be taken together and cannot be taken separately. SPONSOR SHALL NOT BE RESPONSIBLE FOR ANY CANCELLATIONS, DELAYS, DIVERSIONS OR SUBSTITUTIONS OR ANY ACT OR OMISSIONS WHATSOEVER BY ANY AIR CARRIER(S) OR OTHER TRANSPORTATION COMPANIES, LODGING AND/OR OTHER HOSPITALITY PROVIDERS, ENTERTAINMENT PROVIDERS OR SIMILAR THIRD PARTIES, OR ANY OTHER PERSONS PROVIDING ANY OF THESE SERVICES TO WINNERS, (INCLUDING BUT NOT LIMITED TO COSTS OR INJURIES) THEREOF, SUCH AS CHANGES IN SERVICES OR ACCOMMODATIONS NECESSITATED BY SAME.

In the event winner and/or guest engages in behavior during travel or any component of the prize that (as determined by Sponsor) is obnoxious or threatening or illegal, or that is intended to threaten or harass any other person, or that in any way disparages or adversely affects the reputation, image and/or customer goodwill of Sponsor or any of Sponsor’s services, products, trademarks, service marks or logos, Sponsor reserves the right to terminate the travel early and send winner and/or guest home with no further obligations or compensation whatsoever to winner and/or guest (which may, in Sponsor’s discretion, result in such winner’s disqualification from the Sweepstakes and forfeiture of  prize). In the event winner or Guest engages in behavior during travel that (as determined by Sponsor) is illegal, tortious, or subjects winner or guest to arrest or detention, Sponsor shall have no obligation to pay any damages, fees, fines, judgments or other costs or expenses of any kind whatsoever incurred by winner or Guest as a result of such conduct.  SPONSOR SHALL HAVE NO LIABILITY FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING FROM OR ARISING OUT OF ANY TRAVEL RELATED TO THE PRIZE OR ANY OTHER ASPECT OF PRIZE WINNER’S OR GUEST’S ACCEPTANCE OR USE OF THE PRIZE.

GENERAL PRIZE RESTRICTIONS: Any and all applicable federal, provincial, state and local taxes and all fees and expenses related to acceptance and use of prize not specifically stated herein, including, but not limited to, change of air travel fees, ground transportation, automobile insurance, meals, incidentals, passenger tariffs or duties, surcharges, service charges or facility charges, personal charges at lodging, security fees and/or other expenses, are the responsibility solely of winner. Possession and use of gift cards will be governed by terms thereon and any other terms and conditions imposed by issuer.  Prize cannot be substituted, assigned, transferred or redeemed for cash; however, Sponsor reserves the right to make equivalent prize substitutions at their discretion. Sponsor will not replace any lost or stolen prizes. Prize cannot be used in conjunction with any other promotion or offer. Only the number of prizes stated in these Official Rules is available to be won in the Sweepstakes. If, by reason of a print or other error, more prizes are claimed than the number set forth in these Official Rules, prize winner(s) will be selected in accordance with the winner selection method described above from among all eligible claimants making purportedly valid claims to award the advertised number of prizes available. Sponsor is not responsible for any delay or cancellation of the prize delivery due to unforeseen circumstances or those outside of their control. As applicable, if the fulfilling merchant cancels the order for reasons out of Sponsor’s control, the prize will not be delivered and no additional compensation will be provided.   

6.       GENERAL CONDITIONS: Sweepstakes participation constitutes Entrant’s full and unconditional agreement to these Official Rules and to Sponsor’s decisions, which are final and binding in all matters related to the Sweepstakes. In the event there is a discrepancy or inconsistency between disclosures or other statements (in any and/or all media) contained in any Sweepstakes materials and the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control. Proof of sending or submission of entry will not be deemed proof of receipt by Sponsor. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. With regard to potential winners from Canada, Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate or necessary to comply with applicable law.

WARNING: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS SWEEPSTAKES OR TO UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAW, AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO PROSECUTE AND SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. Sponsor reserves the right to disqualify any individual it finds to be attempting to tamper with or to undermine the entry process, any website associated with the Sweepstakes, and/or the legitimate operation of the Sweepstakes; to violate the Official Rules; or to act in an unsportsmanlike or disruptive manner or with the intent to annoy, abuse, threaten or harass any other person.

Sponsor and its agents are not responsible for (1) any incorrect or inaccurate information, whether caused by Entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to, malfunctions, interruptions or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error that may occur in the administration of the Sweepstakes, the processing of entries or potential winners selection of prizes among the available remaining prizes in the prize pool; or (5) any injury or damage to persons or property that may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize. Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures or any factor beyond Sponsor’s reasonable control impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor. If, for any reason, the Sweepstakes cannot be run as planned, Sponsor may disqualify any suspect entries and (a) suspend the Sweepstakes and modify the Sweepstakes to address the impairment, then resume the Sweepstakes in a manner that best conforms to the spirit of these Official Rules; and/or (b) terminate the Sweepstakes and award the prizes at random from among the eligible, non-suspect entries received up to the time of the impairment.

7.       LIMITATION OF LIABILITY AND RELEASES: BY PARTICIPATING IN THIS SWEEPSTAKES, ENTRANT AGREES THAT SWEEPSTAKES ENTITIES, AND THEIR RESPECTIVE PARENT COMPANIES, AFFILIATES, SUBSIDIARIES, REPRESENTATIVES, CONSULTANTS, CONTRACTORS, LEGAL COUNSEL, ADVERTISING AGENCY, PUBLIC RELATIONS COMPANIES, PROMOTIONAL PARTNERS, FULFILLMENT AND MARKETING AGENCIES, WEBSITE PROVIDERS, WEB MASTERS, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS (THE “RELEASED PARTIES”) WILL HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ENTRANTS AGAINST, ANY LIABILITY FOR ANY INJURIES, LOSSES OR DAMAGES OF ANY KIND TO PERSONS, INCLUDING PERSONAL INJURY OR DEATH, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE OR USE OF THE PRIZE, ENTRY OR PARTICIPATION IN THIS SWEEPSTAKES OR IN ANY SWEEPSTAKES-RELATED ACTIVITY, OR ANY CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION OR INVASION OF PRIVACY, OR MERCHANDISE DELIVERY. THE RELEASED PARTIES ARE NOT RESPONSIBLE IF THIS SWEEPSTAKES CANNOT BE ADMINISTERED OR CONDUCTED OR ANY PRIZE CANNOT BE AWARDED DUE TO CANCELLATIONS, DELAYS, OR INTERRUPTIONS RESULTING OR ARISING FROM ACTS OF GOD, WAR, OR THREAT OF TERRORISM, TERRORISM, CIVIL UNREST, STRIKES, SUPPLY SHORTAGES, NATURAL DISASTERS, WEATHER, PANDEMICS, EPIDEMICS, WIDESPREAD ILLNESS, COMPLIANCE WITH ANY LAW OR ORDER OF A GOVERNMENTAL AUTHORITY, OR ANY OTHER SIMILAR ACT, EVENT OR OCCURRENCE BEYOND THE REASONABLE CONTROL OF THE SPONSOR.        BY SUBMITTING AN ENTRY, ENTRANT AGREES THAT SUCH ENTRY, COMMUNICATIONS OR SUBMISSIONS, CREATIVE SUGGESTIONS, IDEAS, NOTES, CONCEPTS OR OTHER MATERIALS (“SUBMISSIONS”) THAT ENTRANT MAY SUBMIT TO SPONSOR OR POST ONLINE OR ON SOCIAL MEDIA IN CONNECTION WITH THIS SWEEPSTAKES, INCLUDING ALL RIGHTS EMBODIED THEREIN, WHETHER SENT VIA THE WEBSITE OR ELECTRONIC MAIL OR SOME OTHER MEANS, WITH THE EXCEPTION OF PERSONALLY IDENTIFIABLE INFORMATION AS IDENTIFIED IN SPONSOR’S PRIVACY POLICY (AVAILABLE AT https://www.wyndhamhotels.com/privacy), ARE DEEMED TO BE NON-CONFIDENTIAL AND NON-PROPRIETARY AND SPONSOR SHALL HAVE NO OBLIGATION OF ANY KIND WITH RESPECT TO SUCH SUBMISSIONS. SPONSOR SHALL BE FREE TO EDIT, EXPLOIT, MODIFY, PUBLISH, REPRODUCE, USE, DISCLOSE, DISSEMINATE AND DISTRIBUTE THE SUBMISSIONS TO OTHERS WITHOUT LIMITATION IN ANY AND ALL MEDIA NOW KNOWN OR NOT CURRENTLY KNOWN, THROUGHOUT THE WORLD IN PERPETUITY FOR ANY PURPOSE WITHOUT COMPENSATION, PERMISSION OR NOTIFICATION TO ENTRANT OR ANY THIRD PARTY. ENTRANT HEREBY GRANTS TO THE SPONSOR AND ITS LEGAL REPRESENTATIVES, SUCCESSORS AND ASSIGNS, AN IRREVOCABLE AND WORLDWIDE LICENSE TO USE IN PERPETUITY THE SUBMISSIONS IN ANY FORM OR FORMAT AND TO MODIFY THE SAME, AND ACKNOWLEDGES AND AGREES THAT IF SPONSOR DOES USE THE SUBMISSIONS, ENTRANT SHALL NOT BE ENTITLED TO ANY CREDIT, CONSIDERATION, NOTICE OR PAYMENTS OF ANY KIND. ENTRANT WAIVES ANY MORAL RIGHTS THEY MAY HAVE TO THE SUBMISSIONS AND AGREES THAT IF SPONSOR ELECTS TO USE SUBMISSIONS FOR ANY PURPOSE, ALL RIGHTS UNDER COPYRIGHT OR OTHER INTELLECTUAL PROPERTY RIGHTS THAT MAY RESULT FROM THAT RELATING TO ENTRANT’S SUBMISSIONS OR FROM USE OF THE SAME BY SPONSOR SHALL BE THE SOLE PROPERTY OF SPONSOR. ENTRANT FURTHER AGREES THAT IF SPONSOR ELECTS TO USE ENTRANT’S SUBMISSIONS, ENTRANT WILL EXECUTE ANY DOCUMENTS REQUESTED BY SPONSOR REGARDING THIS ASSIGNMENT. IF ANY USE BY SPONSOR OF THE SUBMISSIONS CAUSES IT TO BE LIABLE TO ANY THIRD PARTY, ENTRANT AGREES TO INDEMNIFY SPONSOR AND ITS AGENTS, EMPLOYEES, AFFILIATES, SUBSIDIARIES, REPRESENTATIVE AND ALL RELATED PARTIES FROM AND AGAINST ANY AND ALL DAMAGES, COSTS, JUDGMENTS AND EXPENSES (INCLUDING REASONABLE ATTORNEYS’ FEES) THAT IT INCURS AS A RESULT OF ITS USE OF THE SUBMISSIONS.

  WITH THE EXCEPTION OF ANY APPLICABLE STANDARD MANUFACTURER’S WARRANTIES, AND WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS SWEEPSTAKES, INCLUDING EACH WEBSITE ASSOCIATED WITH THIS SWEEPSTAKES AND ALL PRIZES, IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY. 9.      DISPUTE RESOLUTION; ARBITRATION; MASS ARBITRATION; PROHIBITION OF CLASS ACTIONS; GOVERNING LAW: This section is deemed to be a "written agreement to arbitrate" pursuant to the Federal Arbitration Act, and you and Sponsor each agree that this section is intended to satisfy the "writing" requirement of the Federal Arbitration Act.

THE FOLLOWING TERMS TO WHICH YOU ARE CONSENTING CONSIST OF A PRE-DISPUTE RESOLUTION PROCESS, BINDING ARBITRATION PROVISION, MASS ARBITRATION PROVISION, AND A CLASS-ACTION AND JURY TRIAL WAIVER.

To the fullest extent permitted by law, by participating in this Sweepstakes, you and SPONSOR agree that if a dispute arises between you and the SPONSOR, SPONSOR’S PARENTS, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES AND/OR AGENTS (SPONSOR, COLLECTIVELY WITH SUCH OTHER ENTITIES AND INDIVIDUALS, THE “SPONSOR PARTIES”) relating in any way to the Sweepstakes or your use thereof, including common law or statutory claims, the dispute will be resolved in accordance with the provisions set forth in this section. PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS AND WILL IMPACT HOW CLAIMS YOU AND SPONSOR HAVE AGAINST EACH OTHER ARE RESOLVED. You and Sponsor agree that any and all disputes or claims that have arisen or may arise between you and Sponsor or any of the other SPONSOR PARTIES in connection with the Sweepstakes, including any products or services offered or sold in connection with the Sweepstakes and your use of and participation in the Sweepstakes, shall be resolved exclusively through confidential, final, and binding arbitration; provided that either party may file suit in court seeking to enjoin infringement, misappropriation, or misuse of its intellectual property rights. YOU ARE GIVING UP THE RIGHT TO LITIGATE A DISPUTE IN COURT BEFORE A JUDGE OR JURY.

PRE-ARBITRATION DISPUTE RESOLUTION: You and Sponsor agree that whenever you or Sponsor have a disagreement (“Dispute”) with the other arising out of, connected to, or in any way related to the Sweepstakes that is subject to the arbitration provision herein, you and Sponsor will first send a written notice to the other party (a “Demand”). You and Sponsor agree that the requirements of this Dispute Resolution section will apply even to disagreements that may have arisen before you accepted these Official Rules. You must send the Demand to the following address (the “Notice Address”): Super 8 Worldwide, Inc., Attn: Legal Department, 22 Sylvan Way, Parsippany, New Jersey, 07054. Sponsor must send the Demand to you via certified mail to the most recent address Sponsor has on file for you (or by email if Sponsor only has an email address for you on file). A Demand (1) shall seek to resolve a Dispute only on an individual basis (i.e., between you and the applicable SPONSOR PARTY/IES); (2) shall state the full basis for the Dispute (including the details about the Dispute sufficient for the recipient to review and respond) and the date that the Dispute arose; (3) shall provide the individual claimant’s full name, phone number, and email address to confirm their identity and to aid communication; and (4) shall be personally signed by the individual claimant or for Sponsor by its authorized representative (and not only their counsel). Within twenty (20) business days of receipt of a Demand, the recipient may request an individualized video or telephone conference to attempt in good faith to resolve the Dispute which both you and Sponsor will personally attend (with counsel, if represented). You and Sponsor agree that you and Sponsor will not take any legal action, including filing a lawsuit or demanding arbitration, until after the period to request a conference expires or, if a conference is requested, twenty (20) business days after the individualized conference is completed. Compliance with this informal dispute resolution procedure section is mandatory and a condition precedent to initiating any lawsuit or arbitration. This procedure is essential to providing each of us a meaningful opportunity to resolve Disputes informally. Any applicable limitations periods and filing fee deadlines will be tolled while the parties engage in the process set forth above. A court of competent jurisdiction may enjoin the filing or prosecution of a lawsuit or arbitration if these requirements have not been met.

ARBITRATION PROCEDURE: If the Dispute stated in the Demand is not resolved to your or Sponsor’s satisfaction within ten (10) business days after the conference described above (or within ten (10) business days after the time when such a conference may be requested if no conference has been requested), and you intend on taking legal action, you agree that you will file a demand for arbitration with JAMS. The arbitration will be conducted under JAMS’s Comprehensive Rules & Procedures, including JAMS's Consumer Rules (as applicable), as modified by this Agreement to Arbitrate. The JAMS's rules and a form for initiating arbitration proceedings are available on JAMS's website at: https://www.jamsadr.com/rules-comprehensive-arbitration/. The arbitrator, and not any federal, state, provincial, territorial or local court or agency, shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of these Official Rules, including, but not limited to, any claim that all or any part of these Official Rules is void or voidable, except that a court of competent jurisdiction may enjoin the filing or prosecution of an arbitration if the Pre-Arbitration Dispute Resolution requirements set forth above have not been met.

The arbitration shall be held in the county in which you reside or at another mutually agreed location. If the value of the relief sought is $10,000 or less, either you or Sponsor may elect to have the arbitration conducted by telephone and/or video conference or based solely on written submissions, which election shall be binding on the other party subject to the arbitrator's discretion to require an in-person hearing if the circumstances warrant. Attendance at an in-person hearing may be made by telephone and/or video conference, unless the arbitrator requires otherwise. The arbitrator will decide the substance of all claims in accordance with the laws of the State of New Jersey, including recognized principles of equity, and will honor all claims of privilege recognized by law. 

CLASS ACTION WAIVER: You and Sponsor agree that each of us may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class or representative action or proceeding. Unless both you and Sponsor agree otherwise or the Mass Arbitration provisions set forth below are triggered, the arbitrator may not consolidate or join more than one person’s or party’s claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding. Also, the arbitrator may award relief (including monetary, injunctive, and declaratory relief) only in favor of the individual party seeking relief and only to the extent necessary to provide relief necessitated by that party’s individual claim(s). Any relief awarded cannot affect any other person or party. You and Sponsor further agree that in the event this arbitration agreement is held to be unenforceable for any reason, the prohibitions on class and representative actions and non-individualized relief set forth in this paragraph are severable and shall apply to any claim between you and Sponsor in any forum. YOU ARE GIVING UP THE RIGHT TO COMMENCE OR PARTICIPATE IN CLASS AND REPRESENTATIVE ACTIONS. The arbitrator’s award shall be confidential, final, and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. Payment of all filing, administration, and arbitrator fees will be governed by JAMS’s rules.

Mass Arbitration:

If, at any time, 25 or more claimants (including you) submit Demands or seek to file demands for arbitration raising similar claims against Sponsor, and such circumstances meet the definition and criteria of Mass Filings (“Mass Filing”) set forth in National Arbitration & Mediation’s (“NAM”) Mass Filing Supplemental Dispute Resolution Rules and Procedures (“NAM’s Mass Filing Rules”) available at https://www.namadr.com/resources/rules-fees-forms/), you and Sponsor agree that JAMS shall not serve as arbitrator and that instead NAM shall administer any Mass Filing claims and the NAM Mass Filing Rules in effect at the time such claim is filed shall apply as modified below. You agree that throughout this process, the parties’ counsels shall meet and confer to discuss modifications to these procedures based on the particular needs of the Mass Filing. You acknowledge and agree that your election to participate in a Mass Filing may result in a delay in the adjudication of your dispute with Sponsor.  Any applicable limitations periods and filing fee deadlines will be tolled while the parties engage in the process set forth below.

Stage One: Counsel for the claimants and counsel for Sponsor shall each select 15 claims per side (30 claims total) to be filed and to proceed in individual arbitrations as part of a staged process. Each of these individual arbitrations shall be assigned to a different, single arbitrator unless the parties agree otherwise in writing. Any remaining claims shall not be filed or be deemed filed in arbitration, nor shall any arbitration fees be assessed in connection with those claims unless and until they are selected to be filed in individual arbitration proceedings as part of a staged process. After this initial set of staged proceedings is completed, the parties shall promptly engage in a global mediation session of all remaining claims with a retired federal or state court judge and Sponsor will pay the mediator’s fee.

Stage Two: If the remaining claims are not resolved at this time, counsel for the claimants and counsel for Sponsor shall each select 20 claims per side (40 claims total) to be filed and to proceed in individual arbitrations as part of a second staged process, subject to any procedural changes the parties agreed to in writing. Each of these individual arbitrations shall be assigned to a different, single arbitrator unless the parties agree otherwise in writing. Any remaining claims shall not be filed or be deemed filed in arbitration, nor shall any arbitration fees be assessed in connection with those claims unless and until they are selected to be filed in individual arbitration proceedings as part of a staged process. After this second set of staged proceedings is completed, the parties shall promptly engage in a global mediation session of all remaining claims with a retired federal or state court judge and Sponsor will pay the mediator’s fee.

If your Claim is not resolved as part of the staged process identified above, either:

Option One: You and we may separately or by agreement, opt out of arbitration and elect to have your Claim heard in court consistent with these Official Rules. You may opt out of arbitration by sending us your individual, personally signed notice of your intention to opt out by certified mail addressed to the Notice Address. Such an opt-out notice must include a statement, personally signed by you, that you wish to opt out of arbitration within 30 days after the conclusion of Stage Two or the elective mediation associated with Stage Two. We may opt your Claim out of arbitration by sending an individual, personally signed notice of our intention to opt out to your counsel within 14 days after the expiration of your 30-day opt out period. Counsels for the parties may agree to adjust these deadlines.

OR

Option Two: If neither you nor we elect to have your Claim heard in court consistent with Option One, then you agree that your Claim will be resolved as part of continuing, staged individual arbitration proceedings as set forth below. Assuming the number of remaining claims exceeds 100, then 100 claims shall be randomly selected (or selected through a process agreed to by counsels for the parties) to be filed and to proceed in individual arbitrations as part of a staged process. If the number of remaining claims is fewer than 100, then all of those claims will be filed and proceed in individual arbitrations. Any remaining claims will not be filed or be deemed filed in arbitration, nor will any arbitration fees be assessed in connection with those claims unless and until they are selected to be filed in individual arbitration proceedings as part of a staged process. After each set of 100 claims are adjudicated, settled, withdrawn, or otherwise resolved, this process shall repeat consistent with these parameters. Counsels for the parties are encouraged to meet and confer, participate in mediation, and engage with each other and with NAM (including through a Procedural Arbitrator, as such term is used in the NAM Rules) to explore ways to streamline the adjudication of claims, increase the number of claims to proceed at any given time, promote efficiencies, conserve resources, and resolve the remaining claims.

A court of competent jurisdiction shall have the authority to enforce these Mass Filing provisions and, if necessary, to enjoin the mass filing, prosecution, or administration of arbitrations and the assessment of arbitration fees. If these additional procedures apply to your Claim, and a court of competent jurisdiction determines that they are not enforceable as to your Claim, then your Claim will proceed in a court of competent jurisdiction consistent with these Official Rules.

You and we agree that each party values the integrity and efficiency of arbitration and wishes to employ the process for the fair resolution of genuine and sincere disputes between the parties. You and we acknowledge and agree to act in good faith to ensure the processes set forth herein are followed. The parties further agree that application of these Mass Filing procedures have been reasonably designed to result in an efficient and fair adjudication of such cases. If any part of this Mass Arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the NAM rules, then the balance of this Mass Arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision was not contained herein unless the lack of such provision would lead this Mass Arbitration provision to fail of its essential purpose. If the staging process of this Mass Arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the NAM rules, then the remaining claims shall be subject to Option One or Option Two above as selected by you or Sponsor. If the Mass Filing provisions apply to your claim, and a court of competent jurisdiction determines that the Mass Filing provisions are not enforceable as to your claim, then your claim will proceed in a court of competent jurisdiction on an individual basis (not a class or consolidated basis).

GOVERNING LAW.  Except as otherwise prescribed herein, and subject to applicable law, these Official Rules shall in all respects be construed, interpreted, and enforced in accordance with the substantive laws of the State of New Jersey, without regard to its conflicts or choice of law principles. Entrant and Sponsor agree that the Wyndham Rewards Program involves interstate commerce so as to ensure the applicability of the Federal Arbitration Act (“FAA”). In the event of a conflict between New Jersey law and the FAA, the FAA law shall govern.

10.   SEVERABILITY: If any term of provision of these Official Rules is found under the law to be invalid or unenforceable, then such specific term or provision shall be of no force and effect and shall be severed, and the remainder of these Official Rules shall continue in full force and effect.
